1. Overview

These Terms & Conditions (“Terms”) govern access to and use of the Closet Club mobile application and related services (“Platform”). Closet Club operates as a sole trader business under a registered Australian Business Number (ABN).

Each policy governs a specific aspect of the Platform as follows:

Closet Club provides a peer-to-peer marketplace enabling users to list and rent fashion items and accessories.

These Terms & Conditions incorporate and should be read together with Closet Club’s Privacy Policy, Refund and Cancellation Policy, Damage and Liability Policy, and Community Guidelines. By using the platform, you agree to comply with all applicable policies.

Where there is any inconsistency between these Terms and any related policy, these Terms will prevail to the extent of the inconsistency, unless otherwise stated.

By creating an account or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

Platform: The Closet Club mobile application and related services.

User: Any person who creates an account.

Lender: A User who lists an item for rent.

Renter: A User who hires an item.

Listing: Any item uploaded for rental.

Rental Period: The agreed duration of hire.

Security Deposit Authorisation: A temporary authorisation hold placed on a payment method in connection with a security deposit.

3. Eligibility

Users must be at least 18 years old, have legal capacity to enter binding agreements, and provide accurate information. Closet Club may request identity verification at any time and reserves the right to suspend accounts where eligibility cannot be confirmed. Closet Club reserves the right to suspend or terminate accounts that breach these Terms.

4. Nature of the Platform

Closet Club operates solely as a technology marketplace and intermediary. Closet Club does not own listed items and is not a party to rental agreements formed between Users.

Closet Club does not arrange, supervise, or guarantee item collection, delivery, shipping, or handover logistics between Users. Any transport, exchange, or delivery arrangements are undertaken solely at the Users’ own discretion and risk unless expressly facilitated through features provided within the Platform.

Closet Club is not responsible for loss, damage, or delays occurring during any off-platform transport or exchange arrangements between Users.

All rental agreements are formed directly between the Lender and the Renter. Closet Club acts solely as a facilitator of payments and communications.

Closet Club does not act as an agent, insurer, or guarantor of any User, Listing, or transaction conducted through the Platform.

Closet Club is not responsible for the conduct of Users during in-person exchanges. Users participate in any in-person interaction at their own risk.

Closet Club is not responsible for failed, missed, delayed, or disputed in-person exchanges between Users, including where a User does not attend a scheduled pickup or return.

Private Borrowing Between Friends

Closet Club may also allow Users to share items privately with individuals they have added as friends within the Platform.

Where an item is shared privately without a rental fee, the transaction is considered a private borrowing arrangement between the Users.

In such cases, payment processing, platform commission, and payout rules described in these Terms may not apply where no rental fee is charged. Security deposits may still be used where selected by the Lender.

Closet Club remains a technology facilitator only and does not supervise or guarantee the exchange of items between Users in private borrowing arrangements.

Users participating in private borrowing remain responsible for complying with applicable community standards and the Damage & Liability Policy where relevant.

Closet Club reserves the right to monitor and restrict use of private borrowing features where they are used to circumvent platform fees or operate as commercial transactions outside of public listings.

No Warranty or Representation

Closet Club makes no representation or warranty as to the condition, authenticity, quality, legality, safety, merchantability, fitness for purpose, or suitability of any item listed on the Platform. All items are listed by Users, and any representations regarding items are made solely by the relevant Lender.

Closet Club operates within Australia and may restrict availability of the Platform or certain services by country or city. Access to the Platform does not guarantee availability of listings in all locations. Closet Club reserves the right to expand, limit, or modify geographic availability at its discretion.

Closet Club reserves the right to make decisions necessary to protect the integrity, security, and fair operation of the Platform, including but not limited to:

  • refusing or cancelling bookings;
  • reversing transactions;
  • withholding or adjusting payouts;
  • restricting account activity.

All such decisions will be made reasonably and in good faith based on available information.

5. User Responsibilities

Users agree to provide accurate item descriptions and genuine photographs, ensure items are legally owned and not counterfeit, comply with Australian laws, communicate respectfully, and not bypass the Platform to complete transactions privately.

Users must comply with the Closet Club Damage & Liability Policy, including relating to item condition, declared value, security deposits, dispute reporting timeframes, and compensation process.

Users must reasonably cooperate with any dispute investigation, evidence request, or resolution process conducted by Closet Club. Failure to do so may result in account restrictions, payout delays, suspension, or termination.

Prohibited items include counterfeit goods, stolen property, illegal items, and unsafe goods.

Users must not, under any circumstances, attempt to complete transactions outside of the Platform where an introduction, listing, or connection was made through Closet Club.

If Closet Club reasonably determines that Users have engaged in off-platform transactions to avoid fees, Closet Club reserves the right to:

  1. suspend or terminate accounts;
  2. recover lost service fees as a debt due;
  3. charge the applicable service fee as if the transaction had occurred on the Platform; and
  4. take legal action where appropriate.

Users must ensure that all items listed are authentic and do not infringe any third-party intellectual property rights, including trademarks, copyright, or design rights.

Closet Club does not verify the authenticity of Listings and relies on User representations. Users are solely responsible for ensuring the legality and authenticity of items they list.

Closet Club reserves the right to remove any Listing, suspend accounts, or take other action where it reasonably suspects that an item may be counterfeit, infringing, or otherwise unlawful.

6. Listings

Lenders are solely responsible for item accuracy, condition, hygiene, and availability. Closet Club reserves the right to remove Listings at its discretion.

Listings may be made available either publicly within the Platform or privately to Users added as friends.

Public Listings must include a rental fee and are treated as commercial hire transactions between Users.

Listings shared privately with friends may be offered free of charge or for a fee, and may optionally include a security deposit.

Lenders may offer different pricing, terms, or conditions for public listings and private sharing arrangements. Users acknowledge that pricing may vary depending on how a Listing is made available within the Platform.

All bookings, whether public or private, remain subject to the Platform’s return tracking, dispute reporting timeframes, and security deposit rules where applicable.

Closet Club does not guarantee any level of demand, bookings, or earnings for Listings. Lenders acknowledge that income generated through the Platform is variable and not guaranteed.

7. Fees & Commission

Closet Club may charge service fees and/or commission fees, which will be disclosed within the Platform. Closet Club reserves the right to update fee structures with reasonable notice.

All fees are stated exclusive of GST unless otherwise indicated. Closet Club reserves the right to update pricing or fee structures to reflect GST where applicable.

8. Payments

Payments are processed securely via Stripe. By using the Platform, Users agree to Stripe’s terms of service.

When a Renter submits a booking request, Closet Club may place a temporary authorisation hold on the User’s payment method for the applicable rental amount. This hold does not represent a completed charge at the time the request is submitted.

By submitting a booking request, the User expressly authorises Closet Club to place this hold.

If the booking request is approved by the Lender, the authorised amount will be captured and processed as payment.

If the booking request is declined, expires, or is otherwise not confirmed, any authorised amount will be released in accordance with Stripe’s processing timeframes.

Closet Club does not hold customer funds directly. Payment processing, card security, and payment compliance obligations are handled by Stripe.

If a required security deposit authorisation cannot be successfully processed approximately 24 hours before the Rental Period, Closet Club will notify the Renter and provide a limited timeframe before the scheduled pickup time to update their payment method and complete the authorisation.

If the security deposit authorisation remains unsuccessful within the required timeframe, Closet Club may cancel the booking. Refund eligibility will be determined in accordance with the Refund & Cancellation Policy.

Security deposit authorisations are separate from booking payment authorisations. Where a Listing includes a security deposit, the deposit will typically be authorised approximately 24 hours before the Rental Period begins.

The security deposit is not charged at the time of booking and is not charged unless required in accordance with the Damage & Liability Policy.

Platform payouts to Lenders will be released approximately 48 hours after the confirmed return time of the item. For the purposes of payout calculation, the confirmed return time may be either:

  1. the time the item is marked as returned within the Platform, or
  2. the scheduled return time recorded in the booking where the item has not been marked as returned within the Platform. If a dispute is submitted within the permitted timeframe, Closet Club may delay payout until the dispute investigation and resolution process has been completed.

Where no dispute is raised within the applicable dispute reporting window, any security deposit authorisation will be released approximately 48 hours after the confirmed return time of the item, subject to payment provider processing timeframes.

Closet Club’s platform commission (currently 18% unless otherwise disclosed within the Platform) is calculated on the final confirmed rental amount after any refunds, partial refunds, dispute determinations, or adjustments have been resolved. Commission will not be calculated on cancelled bookings where a full refund of the rental fee is issued, except where expressly permitted under the Refund & Cancellation Policy.

Closet Club reserves the right to monitor transactions for fraud, risk, or suspicious activity and may delay, cancel, or refuse transactions where such activity is reasonably suspected.

Chargebacks & Payment Reversals

If a User initiates a chargeback or payment dispute through their financial institution, the User agrees that:

  1. they remain liable for the full amount of the transaction;
  2. Closet Club may recover the amount as a debt;
  3. Closet Club may suspend or terminate the User’s account; and
  4. Closet Club may provide transaction records, communications, and other evidence to financial institutions to dispute the chargeback.

Users must not initiate chargebacks for reasons covered by Closet Club’s policies where a resolution process is available through the Platform.

Payment Timing & Authorisation Limits

Users acknowledge that security deposit authorisations are subject to payment provider time limits, which typically restrict the duration for which funds can be held without capture.

Closet Club’s booking structure, including deposit authorisation timing, rental period limits, dispute reporting windows, and payout timing, is designed to operate within these constraints.

Where a dispute cannot be resolved within the applicable authorisation period, Closet Club may take reasonable steps, including temporary capture of the security deposit, to preserve funds and ensure fair resolution.

9. Booking Modifications & Item Swaps

Closet Club may allow Users to modify an existing booking by swapping the booked item for another item owned by the same Lender. Item swaps are a type of booking modification. Booking modifications must be completed within the Platform to be recognised for the purposes of scheduling, payments, and dispute handling.

Item swaps are subject to the following conditions:

  • Swaps are only permitted between items listed by the same Lender;
  • The replacement item must be available for the original booking period;
  • Swaps may be performed at any time; however, Users are encouraged to complete swaps as early as possible to ensure availability and minimise disruption;
  • Swaps are subject to approval by the Lender.

Where a swap is completed:

  • The original booking remains active and is treated as a modification, not a cancellation;
  • The originally selected item will be released back to available inventory;
  • The replacement item will be reserved for the existing booking period.

Where a swap results in a price difference to the rental fee or security deposit:

  • An authorisation may be placed on the Renter’s payment method for any additional rental amount or deposit amount;
  • Any additional rental amount will only be captured once the Lender approves the swap;
  • Any additional security deposit amount will be authorised in accordance with the Platform’s security deposit process;
  • If the swap is declined, any related authorisation will be released in accordance with Stripe’s processing timeframes;
  • If the replacement item has a lower rental fee or security deposit, any refund, release, or adjustment may be processed in accordance with Platform and payment provider timeframes.

Closet Club reserves the right to restrict or decline swap requests where availability, payment processing, or platform integrity may be impacted.

Closet Club may limit the number or frequency of booking modifications, including swaps, to prevent misuse or disruption of listing availability.

Swaps do not reset or extend the original booking schedule, including cancellation deadlines, dispute reporting timeframes, or payout timing, unless the booking details are formally updated within the Platform.

Closet Club may require additional payment authorisation and approval for swaps involving material price differences and may cancel swap requests where payment cannot be securely processed.

10. Cancellations & Refunds

Cancellations and refunds are governed by the Closet Club Refund & Cancellation Policy.

11. Damage & Security Holds

Closet Club’s determination, made in good faith based on available evidence, is final for the purposes of platform operations, including payment outcomes and account actions. Nothing in this clause limits or excludes any rights that Users may have under Australian Consumer Law or other applicable legislation.

Security deposits are managed in accordance with the Closet Club Damage and Liability Policy. Closet Club reserves the right to capture part or all, of a security deposit where a valid claim is upheld.

Lenders acknowledge that the security deposit amount represents the maximum amount that may be recovered directly through Closet Club's payment and dispute resolution processes. Where a claim exceeds the security deposit amount, Closet Club may, at its sole discretion, assist Users in facilitating communication and attempting to resolve the claim.

Lenders must report damage within the timeframe set out in the Closet Club Damage & Liability Policy. Renters must report items “not as described” within the timeframe set out in the Damage & Liability Policy.

Failure to submit a dispute within the timeframe set out in the Closet Club Damage & Liability Policy will constitute acceptance that the item was returned in satisfactory condition and may result in loss of any right to claim compensation through the Platform.

Where no dispute is raised within the dispute reporting timeframe set out in the Closet Club Damage & Liability Policy, the security deposit authorisation will be released approximately 48 hours after the confirmed return time and payout to the Lender will be scheduled in accordance with the Platform’s payout policy.

Closet Club is not an insurer and does not guarantee recovery of any loss. While Closet Club may facilitate claims that exceed the security deposit amount, recovery of any amount beyond the security deposit is not guaranteed.

Lenders acknowledge that the security deposit amount selected for a Listing represents the maximum amount recoverable directly through Closet Club’s payment and dispute resolution processes

Temporary Deposit Capture for Ongoing Disputes

Where a dispute cannot be reasonably resolved within the payment provider’s authorisation period, Closet Club reserves the right to capture part or all of the applicable security deposit prior to final resolution in order to preserve funds, including where the full deposit is captured as a precautionary measure pending assessment of the appropriate amount.

Any such capture will be held by Closet Club on a temporary basis pending completion of the dispute resolution process.

Following resolution, Closet Club may:

(a) allocate the captured amount in accordance with the outcome of the dispute; and/or

(b) refund part or all of the captured amount to the relevant User where appropriate.

Users acknowledge and agree that this process is necessary to ensure fair dispute handling and to prevent loss of funds due to payment provider limitations.

12. Disputes Between Users

Closet Club may facilitate and resolve disputes in accordance with the Damage & Liability Policy but is not liable for User conduct.

Any amount recoverable directly through Closet Club's payment systems will be limited to the applicable security deposit amount associated with the booking. This does not prevent Users from seeking recovery of losses exceeding the security deposit amount or prevent Closet Club from assisting Users in attempting to resolve such claims.

13. Limitation of Liability

Users acknowledge and accept that all transactions conducted through the Platform are peer-to-peer arrangements undertaken at their own risk.

To the maximum extent permitted by law, Closet Club is not liable for any indirect, incidental, consequential, or special loss or damage, including but not limited to loss of opportunity, event disruption, styling costs, travel expenses, or alternative purchase costs arising from use of the Platform or any booking cancellation or failure between Users.

Closet Club’s liability to Users is limited to the total amount of platform fees paid by the User to Closet Club in connection with the relevant transaction.

For clarity, this limitation applies to Closet Club’s liability as platform operator only. Compensation between Users for item damage or loss is governed separately by the Damage & Liability Policy. Any amount recoverable directly through Closet Club will be limited to the applicable security deposit amount, however claims exceeding the security deposit may be addressed in accordance with the Damage & Liability Policy.

Closet Club provides the Platform on an “as is” basis and does not guarantee the availability, accuracy, condition, authenticity, quality, legality, or suitability of any Listing.

Closet Club implements reasonable industry-standard security measures to protect User data. However, Closet Club is not liable for any loss, disclosure, or misuse of data resulting from unauthorised access, cyber incidents, or breaches beyond its reasonable control.

To the maximum extent permitted by law, Closet Club excludes all warranties, representations, and guarantees not expressly set out in these Terms. Where liability cannot be excluded under applicable law, including under the Australian Consumer Law, Closet Club’s liability is limited, at its option, to:

(a) the resupply of the services; or

(b) the payment of the cost of resupplying the services.

Nothing in these Terms excludes, restricts, or modifies any rights or remedies available under Australian Consumer Law.

Closet Club will not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay is due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, or payment processor outages.

14. User Indemnity

Users agree to indemnify, defend, and hold harmless Closet Club, its owner, affiliates, and service providers from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from or related to:

  • a User’s breach of these Terms or any related policies
  • inaccurate or misleading Listings
  • damage, loss, or injury caused through a User’s use of the Platform
  • violation of any law or regulation
  • disputes between Users arising from rental transactions
  • misuse of the Platform or attempts to circumvent the Platform’s payment system

This indemnity applies only to the extent that the claim arises from the actions, omissions, or misconduct of the User.

Nothing in this clause limits or excludes any rights that Users may have under Australian Consumer Law.

15. Intellectual Property

Closet Club owns all rights in the Platform, including its branding and trademarks.

Users retain ownership of any content they upload to the Platform. By uploading content, Users grant Closet Club a non-exclusive, worldwide, royalty-free, transferable licence to use, reproduce, modify, adapt, publish, display, and promote such content in connection with operating, marketing, and improving the Platform, including on social media, advertising, and other marketing materials.

This licence continues for a reasonable period after content is removed where necessary for operational, legal, or promotional purposes.

16. User Content, Reviews & Feedback

Users may submit reviews, ratings, and feedback in connection with transactions on the Platform.

Users agree that all reviews and feedback must be honest, accurate, and based on genuine experiences. Reviews must not be false, misleading, defamatory, abusive, or intended to harm another User or the Platform.

Closet Club does not endorse or verify reviews and is not responsible for User-generated content.

Closet Club reserves the right, at its discretion, acting reasonably, to remove, edit, or restrict reviews or content that breach these Terms, violate applicable law, or undermine the integrity of the Platform.

Users must not manipulate reviews, ratings, or platform reputation systems, including through false claims, coordinated behaviour, or misuse of dispute processes.

Closet Club may use automated or manual systems to detect suspicious behaviour, including fraudulent listings, review manipulation, or misuse of platform features, and may take action accordingly.

17. Suspension & Termination

Closet Club may suspend or terminate accounts for breach, fraud, harassment, or circumventing the Platform.

18. Privacy

Collection and handling of personal information is governed by the Closet Club Privacy Policy.

19. Governing Law

These Terms are governed by the laws of Western Australia, Australia. Any disputes shall be subject to the jurisdiction of Western Australian courts.

20. Amendments

Closet Club may amend these Terms from time to time. Where changes are material, Closet Club will provide reasonable notice, which may include notification via the Platform or email. Continued use of the Platform following notice of any amendment constitutes acceptance of the updated Terms.
